1. Agreement to Terms

By accessing our website or engaging MAVX AI for services, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our services or website.

2. Services

MAVX AI provides AI automation consulting and implementation services. The scope, deliverables, timeline, and fees for each engagement are defined in a separate Statement of Work (SOW) or service agreement signed by both parties. These Terms apply in addition to any such agreement.

3. Payment

• Fees are as agreed in your service agreement or invoice
• Payment is due within 14 days of invoice date unless otherwise agreed
• Late payments may incur interest at 2% per month on outstanding balances
• All fees are exclusive of applicable taxes unless stated otherwise

4. Intellectual Property

Upon full payment, MAVX AI assigns to the client all rights in the custom deliverables created specifically for that client. MAVX AI retains ownership of:

• Pre-existing tools, frameworks, and methodologies
• Generic code libraries and components not specific to the client
• Any intellectual property developed independently of the engagement

5. Confidentiality

Both parties agree to keep confidential all non-public information shared during the engagement. This obligation survives termination of the agreement for a period of two years.

6. Limitation of Liability

MAVX AI's total liability to you for any claim arising from our services shall not exceed the total fees paid by you in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages of any kind.

7. Termination

Either party may terminate a service agreement with 30 days written notice. You are responsible for payment of all work completed up to the termination date. MAVX AI reserves the right to suspend services in cases of non-payment.

8. Results Disclaimer

While we stand behind the quality of our work and offer a results guarantee as described on our website, individual outcomes depend on many factors outside our control including your business model, team adoption, and market conditions. Past results do not guarantee future performance.

9. Governing Law

These Terms are governed by applicable law. Any disputes shall be resolved through good-faith negotiation first. If unresolved, disputes shall be referred to binding arbitration.

10. Changes to These Terms

We reserve the right to update these Terms at any time. Material changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance.
